These Terms of Use ("Terms") govern your access to and use of the MedaDenta platform, the MedaDenta website, mobile interfaces, communications, and related software and services (collectively, the "Services").
The Services are owned and operated by AMAYS Money Properties LLC ("MedaDenta," "Company," "we," "our," or "us").
By accessing or using the Services, creating an account, booking an appointment, subscribing as a Provider, or otherwise using any portion of the Services, you agree to be legally bound by these Terms. If you do not agree, you must discontinue use of the Services.
For purposes of these Terms:
MedaDenta is a technology company that provides appointment scheduling, practice management, customer engagement, payment facilitation, and communication tools.
Our Services help Clients connect with independent Providers.
MedaDenta does not:
Providers are independent businesses and are not employees, agents, partners, joint venturers, or representatives of MedaDenta solely because they use the Services.
To use the Services you represent that:
Providers additionally represent and warrant that they maintain all licenses, registrations, permits, insurance, and professional qualifications required to provide their services.
Certain Services require creation of an Account.
You are responsible for maintaining the confidentiality of your username, password, authentication methods, and any credentials associated with your Account.
You are responsible for all activities occurring under your Account, whether or not authorized by you.
You agree to notify us immediately if you believe your Account has been compromised or used without authorization.
We reserve the right to suspend, disable, or terminate Accounts that violate these Terms or present security risks.
By creating an Account, booking an appointment, or using the Services, you consent to receive communications electronically, including by:

Your electronic acceptance of these Terms constitutes your electronic signature under applicable law, including the Electronic Signatures in Global and National Commerce Act (E-SIGN Act).
Your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference.
Certain Providers use MedaDenta in connection with healthcare services subject to the Health Insurance Portability and Accountability Act (HIPAA).
Where applicable, MedaDenta acts as a Business Associate to Covered Entities under executed Business Associate Agreements.
Not every Provider or Service is subject to HIPAA, and HIPAA applies only where required by applicable law.

MedaDenta provides technology that may facilitate appointment deposits, payment processing, communications, and scheduling.
Unless expressly stated otherwise, MedaDenta is not a party to the agreement between Clients and Providers regarding:
Deposit requirements, payment processing, refund eligibility, and cancellation terms are governed by the applicable Deposit & Payment Policy and any Provider-specific policies disclosed before booking.
The Services may integrate with or rely upon third-party providers for payment processing, communications, authentication, cloud infrastructure, analytics, or other operational functions.
MedaDenta does not control third-party services and is not responsible for their availability, content, security, or independent terms and policies.
All software, technology, source code, databases, workflows, documentation, logos, graphics, trademarks, service marks, text, designs, and other content comprising the Services are owned by or licensed to AMAYS Money Properties LLC and are protected by intellectual property laws.
No ownership rights are transferred to you through your use of the Services.
Except as expressly permitted, you may not reproduce, modify, distribute, sell, license, or create derivative works from any portion of the Services.
If you voluntarily provide suggestions, ideas, feature requests, comments, or other feedback, you grant MedaDenta a perpetual, worldwide, royalty-free, irrevocable license to use, modify, and incorporate such feedback without compensation or obligation to you.
We strive to provide reliable Services, but we do not guarantee uninterrupted, timely, secure, or error-free operation.
The Services may become unavailable due to maintenance, technical failures, internet outages, third-party service interruptions, security incidents, or circumstances beyond our reasonable control.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE MEDADENTA PLATFORM, INCLUDING ITS WEBSITE, SOFTWARE, BOOKING TOOLS, COMMUNICATION FEATURES, AND RELATED SERVICES (COLLECTIVELY, THE "SERVICES"), IS PROVIDED ON AN "AS AVAILABLE" BASIS. WHILE MEDADENTA STRIVES TO PROVIDE A RELIABLE, SECURE, AND HIGH-QUALITY PLATFORM, WE DO NOT GUARANTEE THAT THE SERVICES WILL OPERATE WITHOUT INTERRUPTION, ERROR, OR DELAY, OR THAT THEY WILL MEET EVERY USER'S PARTICULAR REQUIREMENTS.
Except as expressly provided in this Agreement, Company disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of:
Without limiting the foregoing, Company does not warrant that:
MedaDenta provides technology that enables Clients and independent Providers to connect, schedule appointments, communicate, process booking deposits, and manage appointments. Professional services made available through the Services are performed solely by the independent Provider selected by the Client.
MedaDenta and AMAYS Money Properties LLC do not practice medicine, dentistry, cosmetology, aesthetics, or any other licensed profession, and do not supervise, control, or direct the professional judgment or services of any Provider.
Accordingly, Company makes no representations or warranties regarding any Provider or the professional services offered through the Services, including, without limitation:
Provider profiles, business information, pricing, availability, service descriptions, and other Provider content are supplied and maintained by the respective Providers. Although Company may make reasonable efforts to maintain an accurate platform, Company does not guarantee the accuracy, completeness, or timeliness of information provided by independent Providers.
To the fullest extent permitted by applicable law, MedaDenta, AMAYS Money Properties LLC, its affiliates, officers, directors, employees, contractors, licensors, and service providers shall not be liable for any:
This limitation applies regardless of the legal theory asserted, including contract, tort, negligence, strict liability, or otherwise, even if MedaDenta has been advised of the possibility of such damages.
To the fullest extent permitted by law, our total aggregate liability arising from or relating to the Services shall not exceed the greater of:

MedaDenta does not review, verify, or supervise professional services performed by Providers and assumes no responsibility for the quality, safety, legality, or outcome of those services.
You agree to defend, indemnify, and hold harmless MedaDenta, AMAYS Money Properties LLC, its affiliates, employees, officers, directors, contractors, and service providers from and against any claims, damages, losses, judgments, liabilities, costs, or expenses, including reasonable attorneys' fees, arising out of or relating to:
We reserve the right, with or without notice, to suspend, restrict, or terminate access to all or part of the Services if we reasonably believe:
Termination does not relieve either party of obligations that accrued before termination.
MedaDenta shall not be liable for delays, failures, or interruptions resulting from causes beyond our reasonable control, including but not limited to:
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to conflict-of-law principles.
Except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration rather than in court.
Arbitration shall be conducted in the State of New York in accordance with the Commercial Arbitration Rules of the American Arbitration Association ("AAA") or another mutually agreed arbitration provider.
Each party shall bear its own attorneys' fees unless otherwise awarded by the arbitrator or required by applicable law.
YOU AND MEDADENTA AGREE THAT ANY CLAIM SHALL BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.
Nothing in this section prevents either party from seeking temporary injunctive relief, enforcing intellectual property rights, or filing qualifying claims in small claims court where permitted by law.
You agree not to use the Services in violation of any applicable export control, trade sanctions, or similar laws of the United States or other applicable jurisdictions.
These Terms, together with the Privacy Policy, Deposit & Payment Policy, Provider Services Agreement (where applicable), and any additional policies expressly incorporated by reference, constitute the complete agreement between you and MedaDenta regarding the Services.
If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
Failure by MedaDenta to enforce any provision of these Terms shall not constitute a waiver of any right or provision.
We may modify these Terms from time to time.
When material changes are made, we will update the Effective Date and provide additional notice where required by applicable law.
Continued use of the Services after revised Terms become effective constitutes acceptance of those revised Terms.
